Prime Sender is an authorized Meta Business Partner providing official WhatsApp Business API solutions. Our platform operates in strict compliance with WhatsApp's Business Policy, Commerce Policy, and all Meta platform terms. We do not support or condone spam, unauthorized bulk messaging, or any activities that violate WhatsApp's policies.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prime Sender ("Company," "we," "us," or "our") concerning your access to and use of our WhatsApp Business API platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable law
  • Represent a legitimate business entity (for business accounts)
  • Comply with WhatsApp's Business Terms of Service and Commerce Policy

3. Account Registration and Security

5. Subscription and Billing

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current plans and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

5.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension
  • You are responsible for all taxes associated with your subscription

5.3 Free Trial

We may offer a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be automatically charged for the selected plan.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months or unused services.

6. WhatsApp Business API Compliance

Our Services utilize the WhatsApp Business API. You must comply with:

  • WhatsApp Business Terms of Service
  • WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • Meta's Platform Terms and Policies

Violations of WhatsApp's policies may result in immediate suspension of your account and termination of Services.

7. Intellectual Property Rights

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Prime Sender and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of all content you submit through our Services. By using our Services, you grant us a limited license to process, store, and transmit your content solely to provide the Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without restriction or compensation.

9. Service Availability and Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

9.2 Support

Support levels vary by subscription plan. Enterprise customers receive priority support with dedicated account managers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES (INCLUDING WHATSAPP)

11. Indemnification

You agree to indemnify and hold harmless Prime Sender from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through our platform

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in San Francisco, California, except for claims that may be brought in small claims court.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
